Ogólne warunki sprzedaży / General Terms and Conditions of Sale

  1. Funkcja
    Niniejsze Ogólne Warunki Sprzedaży (OWS) mają zastosowanie wyłącznie do umów sprzedaży zawieranych pomiędzy OEM Automatic Sp. z o.o. (OEM) a nabywcą towarów tej firmy - Klientem (przedsiębiorcami),  o ile umowy te nie stanowią inaczej. OWS są integralną częścią wszelkich umów sprzedaży, w tym zamówień Klienta. Żadne z poniższych warunków nie mogą być zmieniane, ani modyfikowane przez Klienta bez pisemnej zgody OEM. Jednocześnie strony umowy wyłączają stosowanie innych wzorców umownych Klienta (OWZ, regulaminów itp.). OWS są dostępne dla Klienta w siedzibie OEM lub stronie internetowej: www.oemautomatic.pl
  2. Zapytania ofertowe i zamówienia
    Oferta handlowa OEM ma wyłącznie wartość informacyjną i nie jest wiążąca dla żadnej ze stron. Zawarcie umowy następuje z chwilą wystawienia przez OEM potwierdzenia zamówienia lub dowodu sprzedaży.
    Dane techniczne i parametry podane w katalogach, prospektach i innych publikacjach OEM mogą być modyfikowane bez uprzedzenia. 
  3. Dostawa towaru
    a) Jeżeli umowa nie stanowi inaczej wszystkie przesyłki są dostarczane EXW magazyn OEM (Incoterms 2010). Termin dostawy towaru jest podany na potwierdzeniu zamówienia. Ma on charakter wstępny i może ulec zmianie z przyczyn niezależnych od OEM.
    b) Koszty przesyłki zamówionego towaru pokrywa Klient według podanych niżej stawek (cen netto) zależnych od wagi oraz wymiarów przesyłki:
    •   0 kg – 4,99
     kg: 23,00 PLN
    •   5 kg –
     9,99 kg: 27,00 PLN
    •   10 kg – 19,99 kg: 42,00 PLN
    •   20 kg – 
    29,99 kg: 60,00 PLN
    •   30 kg – 59,99 kg: 90,00 PLN
    •   Pół palety 60 x 80 do 59,99 kg: 130,00 PLN              
    •   Paleta 120 x 80 do 
    149,99 kg: 180,00 PLN              
    •   Paleta 120 x 80 od 150 kg do 199,99 kg: 220,00 PLN            
    •   Paleta powyżej wymiarów 120 x 80 i 200 kg − cena ustalona indywidualnie
    c) W przypadku wysyłki towarów ponadgabarytowych lub nietypowych OEM zastrzega sobie możliwość doliczenia dodatkowej opłaty zależnej od kształtów, wymiarów i niestandardowego opakowania przesyłki.
    d) Do opłaty za przewóz przesyłek za pobraniem dodatkowo dolicza się koszt 12,00 PLN netto. Maksymalna kwota pobrania to 2 000,00 PLN.
    e) Na życzenie Klienta OEM ubezpiecza przesyłkę − opłata wynosi wówczas 1% od wartości towaru.
    f) Do dostaw krajowych realizowanych na bazie warunków FCA magazyn firmy doliczana jest opłata logistyczna w wysokości 10,00 PLN netto.
    g) OEM zastrzega sobie prawo doliczenia dodatkowych kosztów logistycznych do zamówień ekspresowych realizowanych na specjalne życzenie Klienta. 
    h) W przypadku odbioru własnego Klient zobowiązany jest odebrać towar w ciągu 4-ch dni roboczych. W przeciwnym razie OEM ma prawo wysłać przesyłkę na koszt zamawiającego wg cen i warunków podanych w pkt 4 b)-g).
  4. Ceny
    Wszystkie ceny są kalkulowane EXW magazyn OEM (Incoterms 2010) i nie zawierają podatku VAT. Ceny podane na potwierdzeniu zamówienia są cenami katalogowymi i mogą zostać uaktualnione w przypadku znaczących zmian kursów walut.   
  5. Warunki płatności   
    Stosuje się trzy podstawowe formy płatności: płatność przy odbiorze, przedpłatę lub odroczony termin płatności.
    Klient jest zobowiązany do uiszczenia całkowitej kwoty należności w terminie wskazanym na fakturze lub proformie. Dniem zapłaty jest dzień księgowania wpłaty na rachunku bankowym OEM. W przypadku braku płatności w wyznaczonym terminie OEM ma prawo naliczyć odsetki ustawowe za każdy dzień opóźnienia, obciążyć dodatkowymi kosztami windykacji oraz żądać przedpłaty na poczet przyjętych wcześniej do realizacji zamówień Klienta. Nieuregulowanie należności w terminie upoważnia OEM do zatrzymania dostaw towaru i realizacji zamówień. OEM może uzależnić odstąpienie od tych czynności od wpłaty zaliczki na poczet najstarszych zobowiązań Klienta. Jeśli nie postanowiono inaczej zapłata za towar jest realizowana bez potrąceń i kompensat roszczeń wzajemnych. Zgłoszenia reklamacyjne nie zwalniają Klienta z obowiązku terminowego uiszczenia płatności. 
  6. Anulowanie
    Zamówienie może być anulowane przez Klienta wyłącznie po otrzymaniu pisemnej zgody OEM. W takim przypadku Klient jest zobowiązany do pokrycia wszelkich kosztów anulowania zamówienia poniesionych przez OEM.
  7. Prawo własności
    OEM zastrzega sobie prawo własności sprzedanego towaru, co ma taki skutek, że pozostaje właścicielem towaru do chwili otrzymania przez OEM pełnej zapłaty za towar oraz innych należności wynikających z umowy sprzedaży bez względu na miejsce składowania lub montażu w innych przedmiotach. W przypadku braku całości lub części należnej kwoty po terminie zapłaty OEM jest upoważniony przez Klienta do odzyskania całego dostarczonego towaru. Z chwilą wszczęcia postępowania upadłościowego lub układowego w stosunku do Klienta jest on zobowiązany oznaczyć towar w sposób wskazujący istnienie zastrzeżenia prawa własności na rzecz OEM. Zajęcie towaru  będącego własnością OEM w trakcie postępowania egzekucyjnego w stosunku do majątku Klienta zobowiązuje Klienta do niezwłocznego poinformowania OEM o tym fakcie oraz współdziałania przy realizacji  praw OEM względem podmiotu dokonującego zajęcia towaru, łącznie ze wskazaniem miejsca przechowywania towaru. OEM może przenieść prawo własności zakupionych towarów na Klienta w każdym momencie, co pod rygorem nieważności wymaga zachowania formy pisemnej. Klient przejmuje odpowiedzialność za towar z chwilą jego odbioru.
  8. Reklamacje i zwrot towaru
    Klient jest zobowiązany do niezwłocznego sprawdzenia zgodności dostarczonego towaru z zamówieniem, a w szczególności: stanu przesyłki, asortymentu, ilości i jakości towaru. Wszelkie reklamacje ilościowe winny być zgłaszane w terminie nie dłuższym niż 5 dni roboczych po dostarczeniu przesyłki. W przypadku stwierdzenia uszkodzenia przesyłki i produktu Klient jest zobowiązany umieścić stosowną adnotację na pokwitowaniu odbioru oraz sporządzić protokół szkody. Każda reklamacja w formie pisemnej wraz z protokołem szkody i dokumentacją fotograficzną winna być przesłana na adres : [email protected]. Zwrot reklamowanego towaru jest możliwy tylko z załączonym do przesyłki potwierdzeniem rejestracji reklamacji – RMA.
    O ile strony nie uzgodnią inaczej, w przypadku nieuzasadnionej reklamacji, Klient zostanie obciążony kosztami obsługi reklamacji poniesionymi przez OEM, a w tym kosztami związanymi z transportem/przesyłką reklamowanego towaru oraz kosztami sprawdzenia tego towaru u producenta wg jego stawek. W przypadku zasadnej reklamacji koszty postępowania reklamacyjnego ponosi OEM.
  9. Gwarancja
    OEM zobowiązuje się usunąć wady towaru wynikające z wadliwej konstrukcji i wad materiałowych lub wymienić towar na wolny  od takich wad. Odpowiedzialność OEM dotyczy jednak wyłącznie wad zgłoszonych nie później niż w terminie miesiąca od dnia wykrycia wady przez Klienta i nie później niż w terminie jednego roku od dnia zakupu. Zobowiązania OEM, które wynikają z niniejszej gwarancji ograniczają się do kosztów, które łącznie nie przekraczają ceny samego towaru. Wszelkie reklamacje gwarancyjne będą przyjmowane przez OEM z chwilą dokonania przez Klienta pełnej zapłaty za dostarczony towar.
    W związku z udzieleniem gwarancji, strony wyłączają odpowiedzialność OEM z tytułu rękojmi.
  10. Ograniczenie odpowiedzialności
    OEM nie ponosi żadnej odpowiedzialności za szkody wynikłe  ze wstrzymania produkcji, utraty zysku lub strat pośrednich.
  11. Certyfikaty na wyroby
    Certyfikaty wyrobów są dostarczane przez OEM na  prośbę Klienta i po jego akceptacji ewentualnych kosztów z tym związanych. OEM nie odpowiada za zamówienia wyrobów z niewłaściwym certyfikatem. Zamawiający ponosi pełne ryzyko w tym względzie.
  12. Obsługa platform zakupowych oraz dodatkowe obowiązki
    OEM nie może być obciążony obowiązkiem obsługi platform zakupowych/logistycznych Klienta, chyba że umowa stanowi inaczej lub też strony w formie pisemnej postanowią inaczej.
    OEM zastrzega sobie prawo do obciążenia Klienta kosztami obsługi wynikającymi z dodatkowych obowiązków.
  13. Siła wyższa
    W przypadku zaistnienia okoliczności, których nie można było przewidzieć w momencie zawarcia umowy, OEM jest zwolniony z zobowiązań wynikających z niniejszych Ogólnych Warunków Sprzedaży  w czasie trwania takich okoliczności.
  14. Dane osobowe
    W związku z realizacją umów sprzedaży towarów oferowanych przez OEM Klient akceptuje niniejsze OWS i jednocześnie wyraża zgodę na przetwarzanie jego danych osobowych przez OEM oraz podmioty działające na jego zlecenie w kraju i zagranicą. Klient nie może bez zgody OEM przekazywać wiedzy i informacji uzyskanych w wyniku kontaktów handlowych z OEM osobom trzecim w sprawach objętych tajemnicą handlową.
  15. Odpowiedzialność prawna
    Wszelkie spory pomiędzy stronami rozstrzygać będzie sąd miejscowo właściwy ze względu na siedzibę OEM. W sprawach nieuregulowanych niniejszymi OWS ma zastosowanie prawo polskie.
  1. Function
    These General Terms and Conditions of Sale (GTCS) apply exclusively to contracts of sale concluded between OEM Automatic Sp. z o.o. (OEM) and the buyer of goods sold by that company, i.e. the Customer (businesses), unless the said contracts stipulate otherwise. The GTCS form an integral part of all contracts of sale, including orders placed by the Customer. None of the following conditions may be changed or modified by the Customer without the written consent of OEM. At the same time, the parties to the agreement exclude the application of other model contracts of the Customer (General Terms and Conditions of Procurement, regulations, etc.). The GTCS are available to the Customer at the registered office of OEM or at the following website: www.oemautomatic.pl.
  2. Requests for quotations and contracts
    The commercial offer of OEM is provided for information purposes only and is not binding for any of the parties. The contract is concluded upon the issuance by OEM of an order confirmation or proof of sale.
    The technical data and parameters provided in the catalogues, prospectuses and other OEM publications may be modified without prior notice.
  3. Delivery of goods
    a) Unless otherwise stipulated in the contract, all consignments shall be delivered to EXW OEM warehouse (Incoterms 2010). The date of delivery of the goods shall be indicated on the order confirmation. It is a preliminary date and may change for reasons beyond OEM’s control.
    b) The costs of delivery of ordered goods shall be covered by the Customer according to the rates specified below (net prices), depending on the weight and size of the consignment:
       0 kg – 4,99 kg: PLN 23,00
    •   5 kg – 9,99 kg: PLN 27,00
    •   10 kg – 19,99 kg: PLN 42,00
    •   20 kg – 29,99 kg: PLN 60,00
    •   30 kg – 59,99 kg: PLN 90,00
    •   HPL 60 x 80 up to 59,99 kg: PLN 130,00               
    •   PLL 120 x 80 up to 149,99 kg: PLN 180,00              
    •   PLL 120 x 80 from 150 kg up to 199,99 kg: PLN 220,00            
    •   Pallet above the size 120 x 80 and 200 kg − individually determined price

    c) When dispatching oversized or non-standard goods, OEM reserves the right to charge an additional fee depending on the shape, dimensions and non-standard packaging of the consignment.
    d) The fee for cash on delivery increases by PLN 12.00 net. The maximum amount of a collection order is PLN 2,000.00.
    e) At the request of the Customer, OEM insures the consignment. In such case, the fee shall amount to 1% of parcel value.
    f) In case of FCA domestic deliveries handling fee PLN 10.00 is applicable.
    g) OEM reserves the right to charge additional logistical costs for express orders completed at a special request of the Customer.
    h) When collection is organised by the Customer, the Customer shall collect the goods within 4 business days. Otherwise, OEM has the right to dispatch the consignment at the expense of the ordering party, according to the prices and conditions specified in clause 4 b) to g).
  4. Prices
    All prices are calculated according to EXW OEM warehouse (Incoterms 2010) and do not include VAT. The prices quoted in the order confirmation are catalogue prices and may be updated in the event of significant changes in exchange rates.
  5. Payment terms
    There are three primary methods of payment: payment on receipt, advance payment and deferred due date. The Customer is under an obligation to pay the amount due in full and by the due date specified on the invoice or a proforma invoice. The date of payment is the day on which the payment is credited on the bank account of OEM. If no payment is made within the set time limit, OEM shall have the right to charge statutory interest for each day of delay, charge additional debt collection costs and demand an advance payment for the Customer’s orders previously accepted for delivery. Failure to pay amounts due within the set time limit authorises OEM to suspend the delivery of goods and performance of orders. OEM may condition cancellation of the aforementioned suspension on the payment of an advance towards the oldest amounts owed by the Customer. Unless stipulated otherwise, payment for goods shall be effected without any deductions and compensation of mutual claims. The filing of a complaint does not release the Customer from the obligation to make payments in a timely manner.
  6. Cancellation
    An order may be cancelled by the Customer only upon the written consent of OEM. In such case, the Customer shall cover any order cancellation costs borne by OEM.
  7. Right of ownership
    OEM reserves the right of ownership to sold goods, which means that OEM remains the owner of goods until the receipt of full payment for goods and other amounts due under the contract of sale, regardless of where they are stored and whether they are installed in other items. If the entirety or part of the amount due is outstanding after the due date, OEM is authorised by the Customer to recover all of the delivered goods. Upon commencement of bankruptcy or arrangement proceedings in relation to the Customer, the Customer is under an obligation to mark the goods in a manner indicating the reservation of ownership by OEM. The seizure of goods owned by OEM during enforcement proceedings carried out in regard to the Customer’s assets obliges the Customer to promptly inform OEM of this fact and to cooperate in the exercise of OEM’s rights against the entity seizing the goods, including by indicating the place where the goods are stored. OEM may transfer the ownership of purchased goods to the Customer at any time, provided that this transfer is effected in writing, otherwise being null and void. The Customer assumes liability for the goods upon acceptance thereof.
  8. Complaints and return of goods
    The Customer is under an obligation to promptly check the conformity of delivered goods with the order, especially: the condition of the consignment, items, quantity and quality of the goods. Any and all complaints concerning quantity must be reported within 5 business days from the delivery of the consignment. Should damage to the consignment or a product be identified, the Customer must make an appropriate annotation on the confirmation of receipt and prepare a damage report. Each complaint, prepared in writing, must be filed together with the damage report and photographic documentation at the following address: [email protected]. The goods being the subject of a complaint may be returned only with the return merchandise authorisation (RMA) attached to the consignment.
    Unless the parties agree otherwise, in the case of an unjustified complaint the Customer shall be charged with the complaint handling costs borne by OEM, including the costs related to the transport/delivery of the goods being the subject of complaint and the costs of inspecting the said goods, according to the rates applied by OEM. In the case of a justified complaint, OEM shall bear the costs of complaint proceedings.
  9. Warranty
    OEM undertakes to remove defects in the goods resulting from faulty construction and material defects or to replace the goods with goods free of such defects. The liability of OEM shall, however, apply only to defects reported no later than one month from the date on which the defect was identified by the Customer and no later than one year from the date of purchase. The obligations of OEM under this warranty are limited to costs which in total do not exceed the price of the goods. All warranty complaints shall be accepted by OEM as of the moment when the Customer pays for the delivered goods in full. In light of the granted warranty, the parties exclude the liability of OEM under the implied warranty.
  10. Limitation of liability
    OEM shall not be liable for any damage resulting from the cessation of production, loss of profit or indirect losses.
  11. Product certificates
    Product certificates are provided by OEM at the request of the Customer and upon their acceptance of any related costs. OEM is not liable for orders of goods with an incorrect certificate. The ordering party shall bear full risk in this regard.
  12. Operation of procurement platforms and additional obligations
    OEM cannot be obliged to operate procurement/logistical platforms of the Customer, unless the contract stipulates otherwise or the parties agree otherwise in writing. OEM reserves the right to charge the Customer with operating costs resulting from additional obligations.
  13. Force Majeure
    Should circumstances that could not have been foreseen at the time of entry into the contract occur, OEM shall be released from obligations arising from these General Terms and Conditions of Sale for the duration of such circumstances.
  14. Personal data
    In connection with the performance of contracts of sale for goods offered by OEM, the Customer accepts these GTCS and consents to the processing of their personal data by OEM and entities acting on its behalf in Poland and abroad. The Customer may not, without the consent of OEM, transfer knowledge and information obtained as a result of commercial contacts with OEM in matters covered by trade secrecy to third parties.
  15. Legal liability
    Any and all disputes between the parties shall be settle by the court having territorial jurisdiction over the registered office of OEM. All matters not covered by these GTCS shall be governed by Polish law.
